Client Materials. Client represents and warrants that all supplied materials (footage, scripts, music, logos, voiceovers, etc.) are owned by Client or duly licensed and infringe no third-party rights. Producer does not verify such materials and assumes no liability therefor. Client shall indemnify, defend, and hold harmless Webb Spinner Visions 🕷️, its owner, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from Client’s materials or use of the videos.
Limitation of Liability. All services and deliverables are furnished “AS IS” with no warranties, express or implied. To the fullest extent permitted by law, Producer’s aggregate liability shall not exceed the total fees actually paid by Client for the specific project. In no event shall Producer be liable for any indirect, consequential, incidental, punitive, special, or lost-profit damages.
Portfolio License. Videos displayed herein are shown pursuant to a limited, non-exclusive, revocable one-year license granted in exchange for discounted rates. Said license expires automatically one (1) year after delivery, after which the videos will be removed from public display.
No Guarantees. Producer makes no representations or warranties regarding performance, views, engagement, leads, or any business results.
Governing Law. This Disclaimer is governed exclusively by the laws of the State of Tennessee. Exclusive jurisdiction and venue shall lie in the courts of Davidson County, Tennessee.
Modifications. Producer reserves the right to revise this Disclaimer at any time. Continued use of the website or services constitutes acceptance of any modifications.
